These Terms of Service ("Terms") govern your access to and use of Pipeline, a Figma plugin developed and operated by Okto Labs LLP ("we," "our," or "us"), a limited liability partnership registered in England and Wales (Company Number OC458551, registered office at Stoney Works, 8 Stoney Lane, London, United Kingdom SE19 3BD).

By installing, accessing, or using Pipeline, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Definitions

  • "Service" refers to the Pipeline Figma plugin and all related services, features, and functionality.
  • "Plugin" refers to the Pipeline software that integrates with Figma.
  • "User" or "you" refers to any individual or entity using the Service.
  • "Workflow" refers to automated processes created using the Service.
  • "Content" refers to any data, designs, or information you process through the Service.

2. License to Use the Service

2.1 Grant of License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal or commercial purposes.

2.2 License Restrictions

You may not:

  • Reverse engineer, decompile, or disassemble the Plugin
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices
  • Use the Service to create a competing product or service
  • Redistribute, sublicense, rent, lease, or loan the Service
  • Access the Service through automated means (bots, scrapers) except via official APIs
  • Attempt to gain unauthorized access to any portion of the Service

3. User Accounts

3.1 Account Registration

Some features of the Service may require you to create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your account credentials
  • Notify us immediately of any unauthorized use of your account

3.2 Account Responsibility

You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from unauthorized use of your account.

4. User Content and Intellectual Property

4.1 Your Content

You retain all ownership rights to the designs, data, and content you create or process through the Service ("User Content"). You are solely responsible for your User Content and the consequences of sharing it.

4.2 License to Us

By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to store, display, process, and transmit your User Content solely for the purpose of providing and improving the Service.

4.3 Our Intellectual Property

The Service, including all software, features, functionality, and visual interfaces, is owned by Okto Labs LLP and protected by intellectual property laws. Our trademarks and trade dress may not be used without our prior written permission.

5. Figma API Integration

5.1 Figma Terms

Your use of Pipeline in connection with Figma is subject to Figma's Terms of Service and API Terms. You are responsible for compliance with Figma's terms.

5.2 API Usage

The Service uses the Figma API to access and manipulate your Figma files. You authorize us to access your Figma account on your behalf for this purpose.

5.3 API Limitations

We may implement rate limits or usage restrictions on API calls to ensure service stability and fair use.

6. Workflows and Automation

6.1 Workflow Responsibility

You are solely responsible for the workflows you create and execute using the Service. We are not liable for any consequences of your automated workflows, including data loss, unintended modifications, or other damages.

6.2 Workflow Limitations

We reserve the right to impose limitations on workflow complexity, execution time, or resource usage to maintain service quality.

7. Pro Subscription and Payment

7.1 Pro Features

Certain advanced features require a paid subscription ("Pro Subscription"). Pro features include:

  • Unlimited workflows
  • AI workflow generation
  • Advanced automation blocks
  • Priority support

7.2 Pricing

Current pricing is displayed on our website and within the Plugin. We reserve the right to modify pricing with 30 days' notice to existing subscribers.

7.3 Payment Processing

Payments are processed through Stripe, a third-party payment processor. You agree to comply with Stripe's terms of service. Stripe handles all payment information directly and is PCI-DSS compliant.

7.4 Billing

Pro Subscriptions are billed monthly or annually in advance. All fees are non-refundable except as required by law or as explicitly stated in these Terms.

7.5 Automatic Renewal

Pro Subscriptions automatically renew unless cancelled before the renewal date. You may cancel your subscription at any time from within the Plugin.

7.6 Refund Policy

Refunds may be provided at our sole discretion within 14 days of initial purchase. To request a refund, contact us at support@pipeline.dev.

8. Service Availability and Modifications

8.1 Uptime

We strive to maintain 99.9% uptime but do not guarantee uninterrupted or error-free service. The Service may be temporarily unavailable for maintenance, updates, or due to factors beyond our control.

8.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

8.3 Updates

We may release updates to the Plugin. Some updates may be required for continued use of the Service.

9. Prohibited Uses

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon intellectual property rights of others
  • Transmit malicious code, viruses, or harmful software
  • Harass, abuse, or harm others
  • Collect personal information without consent
  • Engage in fraudulent activities
  • Overload or interfere with the Service's infrastructure
  • Circumvent security features or access controls
  • Use the Service for any illegal or unauthorized purpose

10. Data Processing and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to our collection, use, and disclosure of your information as described in the Privacy Policy.

11. Third-Party Services

The Service may integrate with third-party services (including Figma). Your use of such services is governed by their respective terms of service. We are not responsible for third-party services or their content.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY
  • UNINTERRUPTED OR ERROR-FREE OPERATION

We do not warrant that:

  • The Service will meet your requirements
  • The Service will be secure, timely, or error-free
  • Results obtained from the Service will be accurate or reliable
  • Any errors in the Service will be corrected

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OKTO LABS LLP SHALL NOT BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, OR USE
  • BUSINESS INTERRUPTION
  • LOSS OF GOODWILL OR REPUTATION

ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) £100 OR (B) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless Okto Labs LLP, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your User Content

15. Termination

15.1 Termination by You

You may stop using the Service at any time. If you have a Pro Subscription, cancellation will take effect at the end of your current billing period.

15.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without notice, for:

  • Violation of these Terms
  • Suspected fraudulent, abusive, or illegal activity
  • Extended periods of inactivity
  • Any other reason at our sole discretion

15.3 Effect of Termination

Upon termination:

  • Your right to use the Service immediately ceases
  • We may delete your account and User Content after 90 days
  • Provisions that by their nature should survive termination will survive, including intellectual property rights, disclaimers, and limitations of liability

16. Dispute Resolution and Governing Law

16.1 Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

16.2 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts of England and Wales for any disputes arising from or related to these Terms or the Service.

16.3 Informal Resolution

Before filing a claim, you agree to contact us at legal@pipeline.dev to attempt to resolve the dispute informally.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Okto Labs LLP regarding the Service.

17.2 Amendments

We may modify these Terms at any time by posting updated Terms on our website or within the Plugin. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms. Material changes will be communicated via email or prominent notice within the Service.

17.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

17.4 Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

17.5 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

17.6 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of government, or network failures.

18. Export Compliance

You agree to comply with all applicable export and import laws and regulations. You may not use or export the Service in violation of UK, US, or other applicable export laws.

19. Children's Privacy

The Service is not intended for use by individuals under the age of 13. We do not knowingly collect personal information from children under 13. If you become aware that a child has provided us with personal information, please contact us.
